Your team is using AI. Every day, across every department, employees are pasting documents into ChatGPT, asking Copilot to summarize client emails, and feeding financial projections into Gemini for analysis. It's


faster. It's useful. And in most organizations, it's completely ungoverned.

This is the data breach risk that most firms aren't talking about — not because it's obscure, but because it doesn't look like a breach. No hacker. No malware. No ransom note. Just an employee trying to do their job faster, accidentally handing sensitive client data to an AI platform with data retention policies that most people have never read.


For law firms, financial advisors, and healthcare organizations, the stakes are particularly high. You operate under confidentiality obligations, regulatory frameworks, and client trust relationships that make unauthorized data disclosure a material liability — regardless of whether it was intentional.


The Scale of the Problem


The numbers are striking. According to Q4 2025 research, sensitive data now makes up 34.8% of employee ChatGPT inputs — up from just 11% in 2023. That growth tracks directly with AI adoption, and it shows no signs of slowing.


A 2025 survey found that 77% of employees have pasted company information into AI tools, and 82% of those workers used personal accounts rather than enterprise-managed versions. That last figure is the critical one. Personal accounts don't carry your organization's data processing agreements. They don't respect your confidentiality policies. And in most cases, they retain conversation history that could be accessed if those accounts are ever compromised.


In 2025, security researchers discovered over 225,000 OpenAI and ChatGPT credentials for sale on dark web markets — harvested not by breaching OpenAI's systems, but by compromising employee devices with infostealer malware. Once inside a stolen account, an attacker has access to every conversation that employee ever had with the platform. Every document they pasted. Every client detail they shared.


This isn't theoretical. It's happening now.


What Employees Are Actually Sharing


The perception gap is significant. Most employees think of AI interactions the way they think of a verbal conversation — ephemeral, contained, forgotten. In reality, when you paste text into an AI platform, you are uploading data to external servers, subject to that provider's retention and training policies.

What's being shared in professional services environments is not trivial. Research documents the types of sensitive content flowing into AI tools daily: client financial records and projections, legal strategy documents and draft contracts, M&A discussions and deal terms, patient information and medical histories, HR data including performance reviews and compensation, and internal credentials and access information.


For a law firm, pasting a client's privileged communication into a personal ChatGPT account may constitute a breach of attorney-client privilege. For a financial advisor, sharing client portfolio details with an ungoverned AI tool may trigger obligations under the FTC Safeguards Rule or SEC cybersecurity regulations. For a healthcare practice, inputting patient information into a consumer AI platform almost certainly creates HIPAA exposure.


The fact that the employee meant no harm is not a defense.


The Copilot Problem Is Different — and Possibly Worse


While ChatGPT gets most of the attention, Microsoft Copilot introduces a distinct and in some ways more serious risk for organizations already running Microsoft 365.


Copilot doesn't just respond to what you paste into it — it can access everything you can access within your M365 environment. Every SharePoint document. Every email. Every Teams conversation. Every file you have permission to open. And because most M365 environments have accumulated years of over-permissioned access — files shared too broadly, permissions never cleaned up, legacy access never revoked — Copilot effectively inherits every one of those over-permissions.


One research report found that 16% of business-critical data in the average M365 environment is overshared, with an average of 802,000 files at risk per organization. When Copilot is deployed into that environment without a prior permissions audit, it becomes a highly capable tool for surfacing data that was never meant to be accessible — to anyone who asks it the right question.


The governance gap compounds this. Most AI governance efforts focus on acceptable use policies and prompt guidelines — controls that sit at the wrong layer. The real exposure lives in the data itself: unclassified, over-shared, and now accessible to an AI that can summarize, extract, and surface it on demand.


The Regulatory and Liability Exposure


Regulators are beginning to catch up, but the legal framework governing AI data handling is still evolving — which creates its own risk. Many existing regulations were written before internal AI assistants could index and summarize entire organizational environments. They focus on data that organizations already monitor, while AI tools quietly access unlabeled, unregulated information that receives no encryption, auditing, or consent controls.


What is clear is that existing obligations don't pause for new technology. Attorney-client privilege, HIPAA, the FTC Safeguards Rule, SEC cybersecurity rules, and state privacy laws all apply to data regardless of which tool was used to process it. The question regulators and plaintiffs will ask isn't whether you intended to expose the data — it's whether you had reasonable controls in place to prevent it.


Organizations experiencing security incidents involving shadow AI face an additional $670,000 in breach costs compared to those with low or no shadow AI usage, according to IBM's 2025 Cost of a Data Breach Report. They also take approximately a week longer to detect and contain the incident. In a regulatory environment where notification timelines are tightening, that detection lag is a material liability.


What Reasonable Controls Actually Look Like


Banning AI tools doesn't work — and attempting to do so creates shadow AI use that's even harder to govern. The firms managing this well are taking a different approach: making the governed path the easy path.


Establish an AI acceptable use policy — and enforce it at the system level. A policy document that employees never read isn't a control. Effective AI governance defines which tools are approved, for which use cases, and blocks unapproved tools through technical controls rather than hoping employees remember the policy.


Deploy enterprise versions of AI tools, not consumer accounts. Enterprise versions of ChatGPT, Copilot, and similar platforms offer data processing agreements, zero data retention options, and audit logging that consumer accounts don't. For any organization with confidentiality obligations, using consumer AI accounts for work is not a reasonable risk posture.


Audit your M365 permissions before deploying Copilot. If your SharePoint environment has years of accumulated over-permissions — and most do — deploying Copilot before cleaning that up amplifies every existing access control problem. A permissions audit should precede any Copilot rollout.


Implement Data Loss Prevention policies that account for AI. Traditional DLP tools were built for file movement and email. Modern DLP needs to cover browser-based data submission to AI platforms. This is now a standard capability in leading DLP solutions.


Train employees on what they're actually doing when they use AI. Most employees genuinely don't understand that pasting client data into a personal ChatGPT account is a data transfer with real retention and liability implications. Effective training changes that understanding — and changes behavior.


The Bottom Line


AI tools are not going away, and they shouldn't. The productivity benefits are real, and the firms that govern AI well will use it as a competitive advantage. But ungoverned AI adoption is creating a data breach exposure that most organizations haven't fully reckoned with — one that doesn't announce itself with a ransom note, and may not be discovered until a regulatory inquiry or a client asks a question you can't answer comfortably.


For law firms, financial advisors, and healthcare practices, the standard isn't perfection. It's reasonableness. Do you have a policy? Is it enforced? Do your employees understand their obligations? Are your tools governed appropriately?
